Terms of Service
Effective Date: March 17, 2026
These Terms of Service ("Terms") constitute a legally binding agreement between Fintech Orchestration Solutions, Inc. ("Fintech Orchestration Solutions," "we," "us," or "our") and you or the entity you represent ("Customer," "you," or "your"). By accessing or using the PayFlow Orchestrator platform, our APIs, developer SDKs, documentation, dashboards, or any related services (collectively, the "Services"), you agree to be bound by these Terms in their entirety.
If you are accepting these Terms on behalf of an organization, you represent and warrant that you have the legal authority to bind that organization, and references to "you" shall mean that organization.
1. Agreement to Terms
By creating an account, accessing the Services, or otherwise indicating your acceptance, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, our Data Processing Agreement (where applicable), and any Order Forms or Statements of Work executed between the parties. If you do not agree to these Terms, you must immediately cease all use of the Services.
These Terms apply to all users of the Services, including but not limited to banks, credit unions, fintech companies, payment processors, developers, and any other financial institutions or businesses that access the PayFlow Orchestrator platform.
2. Eligibility and Account Registration
2.1 Eligibility
To use the Services, you must:
- Be a legally registered business entity or financial institution authorized to operate under applicable law in your jurisdiction
- Be at least 18 years of age if accessing the Services as an individual authorized representative
- Not be located in, or acting on behalf of any person or entity located in, a jurisdiction subject to applicable U.S. sanctions or embargoes
- Not be listed on any U.S. government restricted party list, including the OFAC SDN list or the BIS Entity List
- Have the legal right and authority to process payments and handle financial data under applicable regulations in your jurisdiction
2.2 Account Registration
To access the Services, you must register for an account by providing accurate, current, and complete information. You agree to maintain and promptly update your account information to keep it accurate. You are responsible for:
- Maintaining the confidentiality of your account credentials, API keys, and access tokens
- All activities that occur under your account, whether or not authorized by you
- Immediately notifying Fintech Orchestration Solutions of any unauthorized use of your account or any other security breach at security@fintechorchestration.io
- Not sharing, transferring, or sublicensing your account credentials to any third party without our prior written consent
Fintech Orchestration Solutions reserves the right to reject any account application or suspend any account at its sole discretion.
3. Description of Services
3.1 PayFlow Orchestrator Platform
Fintech Orchestration Solutions provides PayFlow Orchestrator, a cloud-native payment orchestration platform that unifies multiple U.S. payment rails through a single, programmable API interface. The platform supports:
- ACH (Automated Clearing House) — Same-day and standard ACH credit and debit transactions
- Wire Transfers — Domestic and international wire transfer initiation and tracking
- Card Networks — Integration with major card network authorization and settlement flows
- FedNow — Real-time payment initiation and receipt via the Federal Reserve's FedNow Service
- Buy Now, Pay Later (BNPL) — Installment payment origination and servicing integrations
- Digital Wallets — Support for major digital wallet platforms and tokenized payment methods
3.2 Platform Features
The Services include, but are not limited to:
- Intelligent Transaction Routing — Dynamic routing across payment rails based on cost, speed, risk, and regulatory parameters
- Real-Time Fraud and Risk Detection — Adaptive scoring models and automated risk mitigation controls
- Compliance Automation — PCI DSS-aligned controls, ISO 8583 and ISO 20022 message formatting, and audit-ready transaction logging
- Developer APIs and SDKs — RESTful APIs, webhook infrastructure, and native SDKs for major programming languages
- Management Dashboard — Web-based interface for transaction monitoring, reporting, and configuration
- Multi-Region Availability — AWS-hosted infrastructure spanning multiple geographic regions with built-in redundancy
3.3 Service Modifications
Fintech Orchestration Solutions reserves the right to modify, enhance, or discontinue any feature or component of the Services at any time. For material changes, we will provide at least 30 days' advance notice via email or in-platform notification. We will endeavor to maintain backward compatibility for all API versions for a minimum of 12 months following the announcement of deprecation.
4. Acceptable Use Policy
4.1 Permitted Use
You may use the Services solely for lawful business purposes in connection with legitimate payment processing, financial operations, and related activities consistent with the nature and intent of the PayFlow Orchestrator platform.
4.2 Prohibited Activities
You agree that you will not use the Services to:
- Process, facilitate, or enable transactions that violate any applicable law, regulation, or rule, including without limitation the Bank Secrecy Act (BSA), the USA PATRIOT Act, OFAC regulations, or the Electronic Fund Transfer Act (EFTA)
- Engage in or facilitate money laundering, terrorist financing, fraud, or any other financial crime
- Process transactions for businesses or activities that are prohibited under applicable card network rules, ACH operating rules, or FedNow participation agreements
- Circumvent, disable, or interfere with any security, fraud detection, or compliance control within the platform
- Reverse engineer, decompile, disassemble, or attempt to derive source code from any component of the Services
- Resell, sublicense, or otherwise make the Services available to third parties except as expressly permitted under a separate reseller or referral agreement with Fintech Orchestration Solutions
- Upload, transmit, or store any malicious code, malware, or any content designed to disrupt, damage, or gain unauthorized access to any system
- Access or attempt to access data of other customers or tenants of the platform
- Use the Services in any manner that could impair, overburden, or damage Fintech Orchestration Solutions' infrastructure or interfere with any other party's use of the Services
- Misrepresent the nature of transactions or provide false information in connection with payment processing
4.3 Consequences of Violation
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account, reporting to applicable regulatory or law enforcement authorities, and liability for any damages resulting from such violations.
5. API Access and Developer Terms
5.1 API License
Subject to your compliance with these Terms, Fintech Orchestration Solutions grants you a limited, non-exclusive, non-transferable, revocable license to access and use the PayFlow Orchestrator APIs and SDKs solely for the purpose of building and operating integrations with the Services for your internal business use or as expressly permitted in your Order Form.
5.2 API Rate Limits
Your use of the APIs is subject to rate limits as specified in the technical documentation and your applicable subscription tier. Rate limits exist to ensure platform stability and fair access for all customers. Current default limits include:
- Standard tier: 500 API requests per minute per API key
- Professional tier: 2,500 API requests per minute per API key
- Enterprise tier: Custom rate limits as specified in your Order Form
Exceeding rate limits will result in HTTP 429 responses. Sustained or deliberate circumvention of rate limits is a violation of these Terms and may result in account suspension.
5.3 API Versioning and Deprecation
Fintech Orchestration Solutions maintains versioned API releases. When a major API version is deprecated, we will:
- Provide a minimum of 12 months' written notice prior to end-of-life
- Maintain full functionality of the deprecated version during the notice period
- Provide migration guides and developer support to assist with transitions
5.4 Webhooks and Event Notifications
You are responsible for ensuring that any webhook endpoints you configure are secure, properly authenticated, and capable of processing event notifications within a reasonable time. Fintech Orchestration Solutions will retry failed webhook deliveries up to five times with exponential backoff but does not guarantee delivery of any individual webhook notification.
5.5 SDK Usage
SDKs are provided "as-is" under the applicable open-source or commercial license terms accompanying each SDK. You are responsible for ensuring that you use a supported version of any SDK and for updating your integration in response to security patches or deprecation notices.
6. Fees and Payment
6.1 Subscription Fees
Access to the Services is subject to the fees set forth in your applicable Order Form or as displayed on our pricing page. All fees are stated in U.S. dollars and are exclusive of applicable taxes unless otherwise specified.
6.2 Transaction-Based Fees
In addition to any subscription fees, certain pricing plans include per-transaction fees based on transaction volume, payment rail, or transaction value. These fees are calculated and invoiced in accordance with your Order Form.
6.3 Billing and Payment Terms
- Subscription fees are billed in advance on a monthly or annual basis, as selected at the time of purchase
- Transaction-based fees are invoiced monthly in arrears based on actual usage
- Payment is due within 30 days of the invoice date unless otherwise specified in your Order Form
- Fintech Orchestration Solutions accepts payment by ACH, wire transfer, or major credit card
6.4 Late Payments
Amounts not paid by the due date will accrue interest at a rate of 1.5% per month (or the maximum rate permitted by law, whichever is lower) from the due date until paid in full. Fintech Orchestration Solutions reserves the right to suspend access to the Services for accounts with overdue balances after providing 10 days' written notice.
6.5 Taxes
You are responsible for all applicable taxes, levies, duties, and similar governmental charges (excluding taxes based on Fintech Orchestration Solutions' net income) in connection with your use of the Services. If Fintech Orchestration Solutions is required by law to collect such taxes, they will be added to your invoice.
6.6 Fee Changes
Fintech Orchestration Solutions may update pricing for the Services upon at least 60 days' prior written notice. Fee changes will not apply to the then-current subscription term but will take effect upon renewal.
7. Intellectual Property
7.1 Ownership of Services
Fintech Orchestration Solutions and its licensors own all right, title, and interest in and to the Services, including the PayFlow Orchestrator platform, APIs, SDKs, documentation, trademarks, service marks, logos, and all underlying software, algorithms, and technology. These Terms do not grant you any ownership rights in the Services.
7.2 Customer Data
As between the parties, you retain all right, title, and interest in and to the data, information, and content you submit to or generate through the Services ("Customer Data"). You grant Fintech Orchestration Solutions a limited, non-exclusive license to access, process, store, and transmit Customer Data solely to the extent necessary to provide the Services and as described in our Privacy Policy and Data Processing Agreement.
7.3 Feedback
If you provide any feedback, suggestions, or ideas regarding the Services ("Feedback"), you grant Fintech Orchestration Solutions a perpetual, irrevocable, royalty-free, worldwide license to use, incorporate, and exploit such Feedback for any purpose without restriction or compensation to you.
7.4 Aggregate and Anonymized Data
Fintech Orchestration Solutions may collect and use aggregated, anonymized, and de-identified data derived from your use of the Services for the purpose of improving the platform, conducting research, and generating industry insights, provided that such data does not identify you or any individual.
8. Confidentiality
8.1 Definition
"Confidential Information" means any non-public information disclosed by one party ("Disclosing Party") to the other party ("Receiving Party") that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. This includes, without limitation: API keys, credentials, pricing, technical specifications, business plans, transaction data, and the terms of any Order Form.
8.2 Obligations
The Receiving Party agrees to: (a) hold the Disclosing Party's Confidential Information in strict confidence using at least the same degree of care it uses for its own similar confidential information, but no less than reasonable care; (b) not disclose such information to any third party without the Disclosing Party's prior written consent; and (c) use Confidential Information solely to exercise rights or fulfill obligations under these Terms.
8.3 Exceptions
Confidentiality obligations do not apply to information that: (a) is or becomes publicly available without breach of these Terms; (b) was rightfully known to the Receiving Party prior to disclosure; (c) is independently developed without use of the Disclosing Party's Confidential Information; or (d) must be disclosed by applicable law or regulatory order, provided the Receiving Party gives prompt prior notice where legally permissible.
9. Data Processing and Security
9.1 Data Processing Agreement
To the extent that you transmit or process personal data through the Services, the parties agree to the terms of the Fintech Orchestration Solutions Data Processing Agreement ("DPA"), which is incorporated into these Terms by reference. The DPA governs the processing of personal data and describes the technical and organizational measures we maintain to protect your data.
9.2 Security Standards
Fintech Orchestration Solutions operates the PayFlow Orchestrator platform in alignment with PCI DSS (Payment Card Industry Data Security Standard) requirements. Our security program includes:
- Encryption at rest and in transit — All Customer Data is encrypted using AES-256 at rest and TLS 1.2 or higher in transit
- Multi-region AWS infrastructure — Distributed across multiple AWS availability zones and regions for resilience
- Role-based access controls (RBAC) — Granular access controls limiting data access on a need-to-know basis
- Continuous security monitoring — 24/7 monitoring of platform infrastructure for threats and anomalies
- Penetration testing — Annual third-party penetration testing with results available under NDA upon request
- Audit logging — Comprehensive, tamper-resistant audit trails for all transactions and administrative actions
9.3 Incident Notification
In the event of a confirmed security incident that materially affects the confidentiality, integrity, or availability of Customer Data, Fintech Orchestration Solutions will notify you without undue delay and, where feasible, within 72 hours of becoming aware of the incident. Notification will include the nature of the incident, data affected, and remediation steps taken.
9.4 Your Security Responsibilities
You are responsible for: (a) maintaining the security of your API keys, credentials, and access tokens; (b) implementing appropriate security controls within your own systems and applications; (c) promptly rotating credentials following any suspected compromise; and (d) ensuring that your personnel who access the Services are trained in proper security practices.
10. Service Level and Availability
10.1 Uptime Commitment
Fintech Orchestration Solutions targets 99.9% monthly uptime for the core PayFlow Orchestrator transaction processing APIs as measured on a calendar-month basis. Uptime is calculated as: (Total Minutes in Month - Downtime Minutes) / Total Minutes in Month × 100.
10.2 Scheduled Maintenance
Planned maintenance windows that may cause service interruptions will be announced at least 72 hours in advance via the Fintech Orchestration Solutions status page and, for extended maintenance, via email notification. Emergency maintenance may be performed without advance notice where required to address critical security vulnerabilities.
10.3 Service Credits
If the monthly uptime falls below 99.9% in any calendar month, eligible customers may request a service credit as follows:

Service credits are your sole and exclusive remedy for service availability failures. Credits must be requested within 30 days of the incident and will be applied to future invoices. Credits do not apply to downtime caused by: (a) your actions or omissions; (b) third-party services or infrastructure outside Fintech Orchestration Solutions' control; (c) scheduled maintenance; or (d) force majeure events.

Current and historical service status information is available at the Fintech Orchestration Solutions status page. You are encouraged to subscribe to status updates.
11. Disclaimers and Limitation of Liability
11.1 Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FINTECH ORCHESTRATION SOLUTIONS EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.
FINTECH ORCHESTRATION SOLUTIONS DOES NOT WARRANT THAT: (A) THE SERVICES WILL MEET YOUR SPECIFIC REQUIREMENTS; (B) THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (C) ANY ERRORS OR DEFECTS IN THE SERVICES WILL BE CORRECTED; OR (D) ANY PARTICULAR TRANSACTION WILL BE COMPLETED OR SETTLED SUCCESSFULLY.
11.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FINTECH ORCHESTRATION SOLUTIONS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES
- LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY
- COST OF SUBSTITUTE GOODS OR SERVICES
- DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA
WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF FINTECH ORCHESTRATION SOLUTIONS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11.3 Cap on Liability
FINTECH ORCHESTRATION SOLUTIONS' TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO FINTECH ORCHESTRATION SOLUTIONS IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY; OR (B) ONE THOUSAND U.S. DOLLARS (USD $1,000).
11.4 Essential Basis
THE LIMITATIONS IN THIS SECTION REFLECT AN ALLOCATION OF RISK BETWEEN THE PARTIES AND ARE AN ESSENTIAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN THE PARTIES. FINTECH ORCHESTRATION SOLUTIONS WOULD NOT PROVIDE THE SERVICES WITHOUT THESE LIMITATIONS.
12. Indemnification
12.1 Indemnification by You
You agree to defend, indemnify, and hold harmless Fintech Orchestration Solutions, its affiliates, and their respective officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms or any applicable law or regulation
- Your use of the Services in a manner not authorized by these Terms
- Your Customer Data, including any claim that your Customer Data infringes, misappropriates, or violates any third-party right
- Your transactions processed through the PayFlow Orchestrator platform, including any chargebacks, disputes, or regulatory actions
- Any products or services offered by you through or in connection with the Services
12.2 Indemnification Procedure
Fintech Orchestration Solutions will promptly notify you of any claim subject to indemnification, cooperate reasonably in the defense of such claim, and grant you control over the defense and settlement, provided that: (a) you may not settle any claim without Fintech Orchestration Solutions' prior written consent if the settlement imposes any obligation, restriction, or liability on Fintech Orchestration Solutions; and (b) Fintech Orchestration Solutions may participate in the defense at its own expense.
13. Termination
13.1 Termination for Convenience
Either party may terminate these Terms or any applicable Order Form upon 30 days' prior written notice to the other party, subject to any minimum commitment period specified in the Order Form.
13.2 Termination for Cause
Either party may terminate these Terms immediately upon written notice if:
- The other party materially breaches these Terms and fails to cure such breach within 15 days after receiving written notice of the breach
- The other party becomes insolvent, makes a general assignment for the benefit of creditors, or is subject to bankruptcy, receivership, or dissolution proceedings
- The other party engages in conduct that, in the terminating party's reasonable judgment, poses an immediate risk of harm to third parties, the platform, or applicable regulatory compliance
Fintech Orchestration Solutions may additionally suspend or terminate your access to the Services immediately without notice if: (a) we reasonably believe your account is being used for fraudulent, illegal, or abusive activity; (b) required to do so by applicable law, regulation, or regulatory authority; or (c) you fail to pay any overdue amounts after 10 days' written notice.
13.3 Effect of Termination
Upon termination of these Terms for any reason:
- Your license to access and use the Services will immediately terminate
- You must promptly cease all use of the Services, APIs, and SDKs
- You must delete or return any Confidential Information of Fintech Orchestration Solutions in your possession
- Fintech Orchestration Solutions will provide you with access to export your Customer Data for a period of 30 days following termination, after which Customer Data may be deleted in accordance with our data retention policy
- Any outstanding fees for Services rendered through the date of termination become immediately due and payable
13.4 Survival
Sections relating to Intellectual Property, Confidentiality, Disclaimers, Limitation of Liability, Indemnification, Governing Law, and any other provisions that by their nature should survive, will survive the termination or expiration of these Terms.
14. Governing Law and Dispute Resolution
14.1 Governing Law
These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
14.2 Informal Resolution
Before initiating any formal dispute resolution proceeding, the parties agree to attempt to resolve any dispute informally. Either party may initiate this process by delivering written notice to the other party describing the dispute in reasonable detail. The parties will negotiate in good faith for a period of 30 days following such notice before either party may initiate binding arbitration.
14.3 Binding Arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms or the Services that cannot be resolved informally shall be finally resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator in Wilmington, Delaware, or via remote proceedings as agreed by the parties. The decision of the arbitrator shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
14.4 Class Action Waiver
TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND FINTECH ORCHESTRATION SOLUTIONS EACH WAIVE ANY RIGHT TO PURSUE ANY CLAIMS ON A CLASS OR REPRESENTATIVE BASIS. ALL CLAIMS MUST BE BROUGHT IN THE PARTIES' INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.
14.5 Exceptions
Nothing in this section shall prevent either party from seeking emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending the outcome of arbitration.
15. Compliance with Laws
15.1 General Compliance
Each party shall comply with all applicable laws, regulations, rules, and orders in connection with these Terms and its respective use or provision of the Services, including without limitation:
- The Bank Secrecy Act and related anti-money laundering (AML) regulations
- OFAC sanctions regulations and applicable export control laws
- The Electronic Fund Transfer Act (EFTA) and Regulation E
- The Gramm-Leach-Bliley Act (GLBA) and associated privacy regulations
- The Payment Card Industry Data Security Standard (PCI DSS) to the extent applicable to each party's role in the payment chain
- ISO 8583 and ISO 20022 message standards for applicable transaction types
- FedNow Service operating procedures and participation requirements
- Nacha Operating Rules governing ACH transactions
- Any applicable state money transmission laws and licensing requirements
15.2 Your Compliance Obligations
You are solely responsible for obtaining and maintaining all licenses, registrations, and authorizations required by applicable law to operate your business and process payments, including but not limited to money transmission licenses, bank charter authorizations, or other regulatory approvals. You represent and warrant that you have obtained all such authorizations as of the date you accept these Terms.
15.3 Regulatory Cooperation
You agree to cooperate reasonably with Fintech Orchestration Solutions in connection with any regulatory inquiry, examination, or investigation related to the Services or transactions processed through the platform, including providing information and documentation as reasonably requested within applicable legal constraints.
16. Changes to Terms
Fintech Orchestration Solutions reserves the right to modify these Terms at any time. If we make material changes, we will notify you by:
- Sending an email to the address associated with your account at least 30 days before the changes take effect
- Posting a notice on the PayFlow Orchestrator dashboard
- Updating the "Effective Date" at the top of this document
Your continued use of the Services after the effective date of updated Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Services before the effective date of the changes and may terminate your account in accordance with Section 13.1.
For non-material changes (such as corrections, clarifications, or changes that do not adversely affect your rights), we may update these Terms without prior notice, though we will update the Effective Date.
17. General Provisions
17.1 Entire Agreement
These Terms, together with any applicable Order Forms, Statements of Work, the Privacy Policy, and the Data Processing Agreement, constitute the entire agreement between the parties regarding the Services and supersede all prior and contemporaneous agreements, representations, and understandings relating to the subject matter hereof.
17.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it enforceable.
17.3 Waiver
No failure or delay by either party in exercising any right under these Terms shall constitute a waiver of that right. Waivers must be in writing and signed by an authorized representative of the waiving party.
17.4 Assignment
You may not assign or transfer these Terms or any of your rights or obligations hereunder without Fintech Orchestration Solutions' prior written consent. Fintech Orchestration Solutions may assign these Terms, in whole or in part, in connection with a merger, acquisition, sale of assets, or operation of law without your consent. Any purported assignment in violation of this provision shall be null and void.
17.5 Force Majeure
Neither party shall be liable for any failure or delay in performance under these Terms to the extent caused by circumstances beyond that party's reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, governmental actions, or widespread internet or infrastructure failures, provided that the affected party gives prompt notice and uses reasonable efforts to mitigate the impact.
17.6 Relationship of the Parties
The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, employment, agency, or franchise relationship between the parties. Neither party has the authority to bind the other or to incur any obligation on the other's behalf.
17.7 Notices
All legal notices under these Terms must be in writing and delivered to: (a) Fintech Orchestration Solutions at its registered address or legal@fintechorchestration.io; and (b) you at the address or email associated with your account. Notices are effective upon delivery by confirmed email receipt, overnight courier, or certified mail with return receipt.
